1. Acceptance of Terms

By accessing or using MyTeam365 ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance.

2. Description of Service

MyTeam365 is an AI-powered platform that enables users to: create and customize AI Teammates with distinct personalities, expertise, and visual identities; engage AI Teammates in interactive sessions and multi-round deliberations; upload knowledge sources (documents, recordings, images, conversation exports) to inform Teammate responses; connect third-party services (email, calendar, cloud storage, project management) for contextual awareness; publish AI Teammates to a community Marketplace; build Digital Mentors from real-world expertise; create memorial or preservation Teammates from loved ones' materials; and participate in a tiered affiliate program.

The Service uses third-party AI models (including models from OpenAI, Anthropic, and Google) to generate Teammate responses.

3. User Accounts

You are responsible for: maintaining the confidentiality of your account credentials; all activity under your account; providing accurate and current information; and notifying us immediately of unauthorized access.

You must be at least 16 years old to create an account. If you are between 16 and 18, you represent that your parent or guardian has reviewed and consented to these Terms.

You must be at least 18 years old (or the age of majority in your jurisdiction) to participate in the affiliate program and receive commission payouts.

4. AI-Generated Content — Critical Disclaimers

4.1 General Disclaimer. ALL CONTENT GENERATED BY AI TEAMMATES IS FOR INFORMATIONAL AND BRAINSTORMING PURPOSES ONLY. AI Teammates provide perspectives, analysis, and suggestions — NOT professional advice of any kind. Teammates may produce inaccurate, incomplete, or inappropriate responses. You are solely responsible for evaluating and acting on any AI-generated content.

4.2 Not Medical or Mental Health Advice. AI Teammates configured for wellness, fitness, nutrition, or emotional support are NOT therapists, doctors, psychologists, psychiatrists, or licensed mental health professionals. They do NOT provide medical diagnosis, treatment recommendations, or mental health care. If you are experiencing a mental health crisis, contact the 988 Suicide & Crisis Lifeline (call or text 988) or your local emergency services immediately.

4.3 Not Financial or Investment Advice. AI Teammates configured for financial topics are NOT licensed financial advisors, certified financial planners, registered investment advisors, or CPAs. They do NOT provide regulated financial advice. Do not make investment, tax, or significant financial decisions based solely on AI Teammate recommendations. Consult a qualified financial professional.

4.4 Not Legal Advice. AI Teammates configured for legal topics are NOT licensed attorneys and do NOT create an attorney-client relationship. They do NOT provide legal advice, legal opinions, or legal representation. Contract reviews, compliance discussions, and legal analysis provided by AI Teammates are for informational purposes only. Consult a licensed attorney for legal matters.

4.5 Not a Substitute for Professional Services. No AI Teammate, regardless of its configuration, expertise designation, or response quality, is a substitute for qualified professional advice in any regulated field including but not limited to medicine, law, finance, accounting, engineering, or psychology.

4.6 Decision-Making Responsibility. The deliberation engine, multi-Teammate sessions, and structured decision-making tools are designed to provide multiple perspectives for your consideration. The final decision is always yours. MyTeam365 is not responsible for outcomes resulting from decisions you make based on AI Teammate recommendations.

5. Marketplace Terms

5.1 For Users (Consumers). Teammates available in the Marketplace are created by other users and by MyTeam365. We do not guarantee the accuracy, quality, or suitability of any Marketplace Teammate. Community ratings reflect user opinions, not endorsements by MyTeam365. Use Marketplace Teammates at your own discretion.

5.2 For Creators (Publishers). By publishing a Teammate to the Marketplace, you represent and warrant that: you have the right to share the expertise and content underlying the Teammate; you are not impersonating a real person without their explicit written consent; the Teammate does not violate any third party's intellectual property, privacy, or publicity rights; you accept responsibility for the guidance your Teammate provides to other users — MyTeam365 is not liable for advice or information your published Teammate gives to its users; and you will not publish Teammates that promote illegal activity, hate speech, harassment, or harmful content. MyTeam365 reserves the right to remove any Marketplace Teammate at our discretion.

5.3 Revenue Sharing. Creators may earn credits or revenue from premium Marketplace Teammate usage, subject to the commission structure described in their account settings. Revenue sharing terms, payout schedules, and minimum thresholds are described in Section 8 (Affiliate Program).

5.4 Teammate IP Protection. When you publish a Teammate, your personality prompts, expertise configuration, and knowledge source content are not visible to users who interact with your Teammate. Users can interact with but cannot export, copy, or reverse-engineer your Teammate's configuration. However, we cannot guarantee absolute protection against determined efforts to extract configuration details through sustained interaction.

6. Loved One / Memorial Teammates

6.1 Consent and Rights. By creating a Teammate based on a real person (living or deceased), you represent that: you have the legal right to use the materials you upload (recordings, letters, photos, etc.); for living persons, you have their informed consent to create an AI representation of them; for deceased persons, you have the authority to use their materials (e.g., as a family member, executor, or rights holder); and you will not create Teammates that misrepresent, defame, or exploit any person.

6.2 Expectations. Memorial Teammates are built from the materials you provide. They are approximations informed by available data — not replications of the person. Responses may not accurately reflect the person's actual views, knowledge, or personality in all cases.

6.3 Family Disputes. If multiple family members have access to a memorial Teammate and a dispute arises regarding its content, control, or existence, MyTeam365 will defer to the account holder who created the Teammate. We are not responsible for mediating family disputes regarding memorial Teammates.

6.4 Publishing Memorial Teammates. If you publish a memorial Teammate to the Marketplace, you accept full responsibility for ensuring you have the right to share the underlying person's likeness, voice, stories, and other materials publicly. Many jurisdictions have post-mortem personality rights and publicity rights — compliance is your responsibility.

7. Third-Party Integrations

The Service connects to third-party platforms with your explicit authorization. You may revoke access at any time.

7.1 Scope of Access. We access only the data and permissions you grant. Specific access scopes are displayed before each integration is connected.

7.2 Third-Party Terms. Your use of integrated services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

7.3 Third-Party Avatar Services. You may create Teammate avatars using third-party services (such as HeyGen, Synthesia, or D-ID) and import them into MyTeam365. Your use of these services is governed by their terms, and any biometric or likeness data you provide to them is under their control. We store only the resulting avatar asset.

8. Affiliate Program

8.1 Program Overview. MyTeam365 operates a tiered affiliate program. Registered users may participate by sharing a unique referral link. When new users sign up through your link and subscribe to a paid plan, you earn recurring commissions at rates determined by your affiliate tier.

8.2 Commission Structure — Tiered Rates. Your commission rate is determined by the number of active paid referrals attributed to your affiliate code. Current tier thresholds and rates are displayed in your affiliate dashboard.

The tier structure at the time of these Terms:

MyTeam365 may modify tier thresholds and commission rates with 30 days' written notice. Rate changes take effect at the beginning of the next billing cycle after the notice period.

8.3 Founding Affiliate Program. The first 200 users to join the affiliate program are designated as Founding Affiliates. Once 200 Founding Affiliate spots have been claimed, the Founding tier closes permanently and is no longer available. Founding Affiliates receive permanently guaranteed minimum rates equivalent to the Advocate tier (20% Creator / 25% Luminary / 7% usage) regardless of their active referral count. If a Founding Affiliate advances to Partner or Elite through referral volume, the higher rates apply. Founding rates serve as a floor, not a ceiling. Founding Affiliate rates are exempt from rate reductions — this guarantee is permanent for the life of the program. Additionally, Founding Affiliates earn lifetime commissions on all referrals (no expiration), whereas standard affiliates are subject to the commission duration described in Section 8.4.

8.4 How Commissions Are Earned. Commissions are earned when a referred user makes a payment on a paid subscription (Creator or Luminary) or incurs usage-based charges. Commissions are calculated as a percentage of the payment amount at the rate corresponding to your current tier at the time of payment. For standard affiliates (Starter through Elite), commissions recur for 24 months from the date the referral first activates a paid subscription. After 24 months, commissions on that referral cease. The 24-month clock does not reset if the referred user cancels and later resubscribes. For Founding Affiliates, commissions are lifetime — they recur for as long as the referred user maintains an active paid subscription, with no expiration.

8.5 Referral Attribution. Referral attribution uses a 90-day cookie with first-click attribution. A referral is attributed to the first affiliate whose referral link the user clicks, provided the user registers within 90 days of that click. Each user can only be attributed to one affiliate. Attribution is permanent after signup — if a referred user cancels and later resubscribes, the original affiliate resumes earning commissions (subject to the commission duration in Section 8.4). Self-referrals (referring yourself or accounts you control) are prohibited and may result in immediate program termination.

8.6 Active Referral Definition. An "active referral" is a referred user with an active paid subscription who has completed at least one successful payment. Free/Discoverer plan users do not count toward tier advancement. Users whose subscriptions have been cancelled are classified as "churned" and subtracted from your active referral count.

8.7 Tier Advancement and Demotion. Tier advancement is immediate upon reaching the required number of active paid referrals. If your active referral count drops below your current tier's threshold (due to referral churn), you retain your current tier for a 60-day grace period. If you do not recover within 60 days, your tier adjusts to match your current active referral count. Founding Affiliates are never demoted below their founding rate floor.

8.8 Payouts. All commissions are subject to a 30-day holdback period before becoming eligible for withdrawal. The minimum payout threshold is $50. Payouts are processed via Stripe Connected Accounts — you are responsible for connecting and maintaining a valid Stripe account. Payout options include: manual withdrawal (anytime, $50 minimum), monthly automatic (1st of each month if balance exceeds $50), or threshold automatic (when balance reaches a threshold you set). You are responsible for any taxes owed on commission income. MyTeam365 may issue 1099 forms for US-based affiliates earning $600 or more annually, as required by law.

8.9 Affiliate Obligations. You agree to: disclose your affiliate relationship when promoting MyTeam365, in compliance with FTC endorsement guidelines; not engage in deceptive, misleading, or spammy marketing practices; not bid on MyTeam365 trademarks in paid search advertising without written permission; not create fake accounts or use fraudulent means to generate referrals; and not misrepresent MyTeam365's features, pricing, or capabilities.

8.10 Fraud and Abuse. MyTeam365 reserves the right to: investigate suspected fraudulent referral activity; withhold or reverse commissions earned through fraudulent means; immediately terminate affiliate participation for fraud without the standard 30-day notice period; and recover commissions already paid that were earned through fraud. Fraudulent activity includes but is not limited to: self-referrals, fake accounts, incentivized signups where the primary purpose is commission generation rather than genuine product adoption, and manipulation of referral tracking mechanisms.

8.11 Program Modification and Termination. MyTeam365 may modify commission rates, tier thresholds, and program terms with 30 days' notice. Founding Affiliate rates are exempt from rate reductions. MyTeam365 may terminate your affiliate participation for violation of these terms, fraudulent activity, or at our discretion with 30 days' notice. Upon termination, pending eligible commissions (past the holdback period) will be paid out. Commissions still within the holdback period are forfeited. You may withdraw from the program at any time; eligible commissions will be paid out.

9. Acceptable Use

You agree not to: use the Service for any unlawful purpose; upload content that infringes third-party rights; create Teammates that impersonate real people without consent; use the Service to generate harmful, abusive, or harassing content; attempt to extract, reverse-engineer, or copy other users' Teammate configurations; use automated means to access the Service beyond intended use; resell access to the Service without written authorization; and deliberately circumvent safety measures or content guidelines.

10. Intellectual Property

10.1 Our IP. The Service, including its design, features, code, and branding, is owned by MyTeam365 and protected by intellectual property law.

10.2 Your Content. You retain ownership of content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to use it solely to provide and improve the Service for you.

10.3 AI-Generated Output. Content generated by AI Teammates during your sessions (summaries, deliberation results, documents, recommendations) is owned by you. You may use it for any lawful purpose. However, AI-generated content may not be unique — similar prompts from different users may produce similar outputs.

10.4 Marketplace Teammate IP. If you publish a Teammate to the Marketplace, you retain ownership of your configuration and knowledge sources. Other users receive a limited license to interact with your Teammate through the platform but do not acquire rights to your underlying IP.

11. Subscription, Billing & Credits

11.1 Plans. The Service offers free and paid subscription plans. Feature availability varies by plan.

11.2 Billing. Paid subscriptions are billed on a recurring basis (monthly or annually) according to your selected plan. You authorize us to charge your payment method at each renewal.

11.3 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

11.4 Credits. Certain features require credits. Credits expire at the end of each billing period and do not carry over unless specified in your plan terms. Unused credits are not refundable.

11.5 Price Changes. We may change subscription pricing with 30 days' notice. Price changes take effect at your next billing cycle after the notice period.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYTEAM365 SHALL NOT BE LIABLE FOR: any indirect, incidental, special, consequential, or punitive damages; loss of profits, data, business, or goodwill; damages arising from reliance on AI-generated content; outcomes of decisions made based on Teammate recommendations; damages resulting from unauthorized access to your account; actions taken by AI Teammates through connected integrations (when action features are enabled); and losses related to affiliate program commission calculations, tier determinations, or payout processing.

Our total liability for any claims arising from these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) $100.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Indemnification

You agree to indemnify and hold harmless MyTeam365, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from: your use of the Service; content you upload or create; Teammates you publish to the Marketplace; advice or information your published Teammates provide to other users; your affiliate marketing activities; your violation of these Terms; and your violation of any third party's rights.

14. Termination

We may suspend or terminate your account if you violate these Terms. You may terminate your account at any time. Upon termination: your right to use the Service ceases immediately; your data will be deleted per our Privacy Policy retention schedule; published Marketplace Teammates will be unpublished; affiliate participation ends — pending eligible commissions (past holdback) will be paid out per Section 8.11; and Founding Affiliate status is forfeited upon account termination.

15. Dispute Resolution

15.1 Informal Resolution. Before filing any formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

15.2 Arbitration. Any disputes not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in [YOUR STATE].

15.3 Class Action Waiver. You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

16. Governing Law

These Terms are governed by the laws of the State of [YOUR STATE], United States, without regard to conflict of law principles.
